By accessing or using ProcureScore, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform.

ProcureScore is a procurement intelligence and vendor evaluation platform that provides algorithmic vendor scoring, vendor-submitted data, and user-generated reviews.

The Platform is currently offered free of charge. The Company reserves the right to introduce paid plans, enterprise services, and vendor visibility features in the future.

Users must provide accurate and complete information when creating an account. You are responsible for maintaining confidentiality of login credentials and all activities under your account.

• Users retain ownership of content they submit.
• You grant the Company a worldwide, non-exclusive, royalty-free license to use, display, analyze, and process submitted content for platform operation.
• Vendor profiles may include data submitted by vendors or added by administrators and later claimed by vendors.
• You are solely responsible for the accuracy of submitted information.

All platform content, scoring methodologies, algorithms, design elements, branding, databases, and score outputs are the exclusive property of **Company Name**.

You may not copy, reproduce, distribute, reverse engineer, extract, or create derivative works from the Platform.

You agree not to:

• Scrape, crawl, or harvest data.
• Reverse engineer or attempt to extract source code or models.
• Replicate or benchmark scoring methodologies.
• Use Platform data to train AI or machine learning systems.
• Misrepresent vendor capabilities or submit false information.
• Use the Platform for unlawful purposes.

Vendor scores are algorithmically generated based on available data and may incorporate user-submitted information.

Scores are provided for informational purposes only and do not constitute professional advice. The Company does not guarantee accuracy, completeness, or suitability for procurement decisions.

You are solely responsible for procurement decisions and vendor selection.

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, special, punitive, or procurement-related losses.

The total aggregate liability of the Company shall not exceed the greater of (a) INR 1,000 or (b) the amount paid by you to the Company in the preceding 12 months.

You agree to indemnify and hold harmless the Company from any claims, damages, losses, liabilities, or expenses arising from:

• Your misuse of the Platform.
• False or misleading vendor information.
• Intellectual property infringement.
• Procurement decisions made using Platform data.

The Company may suspend or terminate accounts that violate these Terms or applicable policies.

The Company reserves the right to introduce paid subscriptions, enterprise plans, and vendor promotional services. Additional terms may apply to paid services.

If you enter into a separate written agreement with the Company, that agreement will control in case of conflict.

These Terms shall be governed by the laws of India.

Any dispute shall be resolved by binding arbitration conducted in India in accordance with applicable arbitration laws. Courts located in **City, India** shall have exclusive jurisdiction for enforcement.

The Company may modify these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.
